Hyemi is a partner in SEUM’s corporate group. Her practice focuses on M&A, domestic and cross-border investment, startup and emerging companies, competition law, employment, compliance and general corporate/commercial matters.

Prior to joining SEUM, Hyemi was in private practice at another leading boutique firm in Korea handling a variety of matters related to M&A, private equity, investments, initial public offerings and shareholder/management disputes.

M&A / Corporate

  • Represented NAVER Corporation, a publicly listed leading internet portal and mobile company that provides services and content in various areas such as video platforms, community apps, AR camera content platform, translation, web browsing and mapping, in connection with its acquisition of Audion Sori, an audio book producer and publisher
  • Represented Samsung C&T, a listed global Korean conglomerate operating in the engineering, construction projects, trade and investment, fashion and resorts sector, in connection with its acquisition of the design division of SAMOOCM, a leading Korean architecture firm
  • Represented NHN Entertainment Corp., a listed developer, publisher and distributor of mobile and PC games, in connection with its acquisition of a 50% stake in Incruit Corporation, one of the leading platform providers of human resource information, for a purchase price of KRW 10 billion (USD ~8.9 million)
  • Represented Sejong Industrial Co., Ltd., a listed company that engages in the research and development, production, and supply of automotive parts in Korea and internationally, in connection with an acquisition of Asentec, a leading manufacturer of sensors and other electronic automotive parts, for a purchase price of KRW 15 billion (USD ~13.3 million)
  • Represented Korea Zinc Co., Ltd., a listed Korean company that engages in the manufacture and sale of non-ferrous metals, in connection with a purchase of 33,333,334 common shares of Woulfe Mining Corp., a Canada-based TSX-V listed company with a diversified portfolio of mining licenses, for a purchase price of CAD 10,000,000.
  • Represented CrucialTec Corp., a listed Korean company that is one of the world's largest manufacturers of Optical Track Pad (OTP) mobile input devices, in connection with its acquisition of Chaarmtech Global Co., Ltd, a leading manufacturer of mobile phone cases
  • Advised STX Heavy Industries Co., Ltd., a listed Korean company that designs, manufactures, and sells diesel engines, core materials, and other equipment for ships and power plants in Korea and internationally, in connection with its spin-off of its ocean plant division and subsequent merger with STX Offshore & Shipbuilding Co., Ltd., which engages in shipbuilding and offshore businesses globally
  • Represented Air Energi Group Ltd., a UK-based company providing human resource solutions to the oil and gas industry, in connection with its acquisition of Kitco International, a Korean manpower, training, accommodation and procurement services provider
  • Advised Chungdahm Learning, one of the largest listed education companies in Korea, in connection with its merger with a subsidiary company


Venture Capital / Investment

  • Represented Intel Capital, the venture capital arm of Intel Corporate, a global US-based semi-conductor company, in connection with an investment into CrucialTec Corp., one of the world's largest manufacturers of Optical Track Pad (OTP) mobile input devices
  • Represented JAFCO Investment (Asia Pacific) Ltd., a Singapore-based private equity & venture capital firm, in connection with an investment into Senko Co., Ltd., a leading developer, manufacturer and supplier or gas sensors and related electronic devices
  • Represented a Singapore-based IP investment, commercialization, and fund management company, in connection with an investment into a leading Korean maker of joint arthroplasty products for the hip, knee and spine
  • Represented Geo-Young Co., Ltd., a Korean company providing pharmaceutical distribution and logistics services, in connection with the issuance and sale of KRW 60 billion (~USD 53.5 million) of convertible bonds to affiliates of Anchor Equity Partners (Asia) Limited, a Korean private equity firm, and the sale of Geo-Young shares held by affiliates of Goldman Sachs Principal Investment
  • Represented YG Entertainment, a leading listed entertainment company in Korea, in connection with an investment into Next Interactive K, a joint venture established by YG Entertainment, KT Corporation (one of Korea’s largest telecommunications companies) and d'strict Holdings, Inc. (a leading digital design company) that operates an entertainment platform utilizing new media technology.


Employment and Labor

  • Advised a Korean global automobile manufacturing conglomerate in connection with a claim of unfair employment practice dispute
  • Advised the following international companies regarding general employment matters for their offices and subsidiaries in Korea:
    • InComm Korea Co., Ltd., the Korean subsidiary of US-based InComm, Inc., a leading e-commerce and gift card company
    • Arkema, a listed specialty chemicals and advanced materials company based in France
